This website is published by Bitcoin Outdoor Hospitality Fund, LP and its investment manager, Bitcoin Living, LLC (together, “we” or “the Fund”). It is made available to you on the conditions below. By continuing to use the site, you accept them. If you do not accept them, please leave the site. These terms are a binding agreement, so read them in full.

Nothing Here Is an Offer, and Nothing Here Is Advice

This website is informational and promotional material about a private fund. It is not an offer to sell, or a solicitation of an offer to buy, any security. Any offer or sale of limited partnership interests in the Fund will be made only to verified accredited investors, and only pursuant to the Fund’s definitive offering documents, including its Private Placement Memorandum, Limited Partnership Agreement, and Subscription Agreement. Where anything on this site conflicts with those documents, those documents control.

Nothing on this site is investment, legal, tax, or accounting advice, and no content here is personalized to your circumstances. Illustrations, projections, assumptions, and tax figures are exactly that. They are not promises, and your own results will depend on facts we do not know. Consult your own advisers before you act on anything you read here.

Accredited Investors Only

The Fund is offered under Rule 506(c) of Regulation D and is limited to accredited investors whose status has been verified in writing. By requesting a call, requesting data room access, or submitting any form on this site, you represent that the information you provide is accurate and that you are at least 18 years old. Access to the data room is granted at our discretion, after an introductory conversation and after verification is complete, and it may be suspended or withdrawn at any time.

Privacy

Our Privacy Policy explains what we collect through this site and how we use it. It forms part of these terms.

We do not share mobile information with third parties or affiliates for marketing or promotional purposes. No mobile information will be sold, rented, or shared with any third party or affiliate for their own marketing or promotional use. Text messaging originator opt-in data and consent are not shared with any third party, other than the messaging vendors and subcontractors that help us deliver the messages you asked for.

Electronic Communications

You consent to receive communications from us electronically, and you agree that any notice or disclosure we are required to provide may be given to you in electronic form, including by email or through this site.

The content on this site, including text, images, photography, charts, compilations, layout, code, and any audio or video, is the property of Bitcoin Living, LLC or its licensors and is protected by United States and international copyright law. We take our intellectual property seriously and we monitor for infringing use.

Our Trademarks

The Bitcoin Outdoor Hospitality Fund and Bitcoin Living names, logos, lockups, taglines, and the distinctive design elements of this site are our trademarks and trade dress. They identify us as the source of the material that carries them. You may not use them in any way that is likely to cause confusion, that implies a connection with us or an endorsement by us, or that discredits the brand.

Permitted Use

Governing Law and Disputes

These terms and any dispute arising out of them or out of your use of this site are governed by the laws of the State of Florida, without regard to its conflict of laws rules. You agree to the exclusive jurisdiction and venue of the state and federal courts located in Miami-Dade County, Florida, and you waive any objection to that venue. Any claim must be brought within one year after it arises, to the extent permitted by law.

Changes, Severability, and the Rest

We may change this site, our offerings, and these terms at any time and without prior notice. The effective date above reflects the current version, and your continued use of the site after a change means you accept it. If any provision is held invalid, it is severed and the remaining provisions stay in full effect. Our failure to enforce a provision is not a waiver of it. These terms, together with the Privacy Policy, are the entire agreement between us regarding this site. You may not assign them; we may. This site is operated from the United States and is not directed at any jurisdiction where offering or promoting these interests would be unlawful.
